Jonny's List Terms and Conditions

Welcome to Jonny's List (the "Platform"). By accessing or using Jonny's List, you ("User," "Attorney," or "Participant") agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully.

1. Platform Purpose

Jonny's List is a networking and attorney referral platform designed to connect attorneys who wish to refer legal matters to one another. The Platform facilitates introductions but does not engage in the practice of law, provide legal advice, or participate in any referral fee arrangements between attorneys.

2. No Participation in Referral Fee Agreements

Jonny's List is not a party to, does not draft, negotiate, review, or enforce any fee-sharing or referral agreements entered into between attorneys using the Platform.

Each attorney is solely responsible for:

• Determining whether a referral fee arrangement is permissible under applicable law, ethics rules, or bar regulations;
• Drafting, negotiating, and executing any referral or fee-sharing agreements;
• Obtaining required client consents, in compliance with their jurisdiction's rules of professional conduct;
• Ensuring that any fee division complies with all ethical, legal, and regulatory requirements.

Jonny's List does not supervise, monitor, or verify any such agreements. Use of the Platform does not constitute legal advice or compliance assistance.

3. Attorney Responsibilities and Representations

By using the Platform, you represent and warrant that:

• You are a licensed attorney in good standing authorized to practice law in at least one jurisdiction.
• You are solely responsible for complying with all applicable laws, rules of professional conduct, bar regulations, and client protection requirements.
• You will obtain written client consent prior to entering into any referral fee or fee-sharing arrangement, if required.
• You release Jonny's List from any liability arising out of or related to any fee agreements or client matters arising from referrals initiated through the Platform.

4. No Attorney-Client Relationship

Use of the Platform does not create an attorney-client relationship between Jonny's List and any user, attorney, or referred client.

Jonny's List does not control, endorse, or warrant the competence, work product, legal services, or ethical compliance of any attorney or law firm participating on the Platform.

5. Dispute Resolution Between Attorneys

Jonny's List has no obligation to mediate, arbitrate, or resolve disputes between attorneys or law firms arising out of referral agreements, fee divisions, or representation of clients. All such matters are solely the responsibility of the attorneys involved.

6. Limitation of Liability

To the fullest extent permitted by law, Jonny's List disclaims all liability for:

• The outcome of any legal representation arising from attorney referrals.
• The enforceability or legality of any fee-sharing or referral agreement entered into between attorneys.
• Any failure by attorneys to comply with applicable ethics rules, statutes, or client consent requirements.

7. Arbitration and Governing Law

(a) Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to your use of the Platform, these Terms, or the relationship between you and Jonny's List shall be resolved exclusively by final and binding arbitration administered by JAMS (or any similar nationally recognized arbitration provider) in accordance with its Comprehensive Arbitration Rules and Procedures then in effect.

The arbitration shall be conducted before a single arbitrator with experience in commercial contracts and technology platforms, mutually selected by the parties, or failing agreement, appointed by JAMS.

Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

(b) Venue

The arbitration shall be held in Los Angeles County, California, unless otherwise agreed by the parties in writing.

(c) Governing Law

These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of laws principles.

(d) Waiver of Class Actions

All proceedings shall be conducted solely on an individual basis. You agree not to bring or participate in any class, collective, or representative action.

8. Modification of Terms

Jonny's List reserves the right to modify these Terms at any time. Continued use of the Platform after such modifications constitutes acceptance of the modified Terms.
